The investigation concerns allegations that the Company has been taking

of in-home therapy visits, some of which were not medically necessary.
On May 13, 2010, The Wall Street Journal reported that the Senate
Finance Committee launched an investigation into whether Gentiva and
certain other in-home therapy providers “deliberately boosted the number
of home therapy visits to trigger higher Medicare reimbursements.” The
committee sent letters to the chief executives of the companies
requesting certain information about the companies’ therapy visits and
their financial relationships with referring physicians. On July 13,
2010 Gentiva disclosed that the Securities and Exchange Commission
requested that the Company preserve all documents since January 1, 2000,
related to the Company’s participation in the Medicare Home Health
Prospective Payment System.
